A) Contractual basis

1. These General Terms and Conditions (hereinafter referred to as "GTC") form the basis of the purchase contracts concluded between Vegana Natura AG (hereinafter referred to as "Vegana Natura") and its customers (hereinafter referred to as "customer") via the webshops on or (hereinafter referred to as "webshop").
2. Vegana Natura sells the products offered in the webshop to the customer exclusively under the conditions set out in these GTC. By ordering products from the webshop, the customer accepts the GTC, which thus become part of the contract.
3. Vegana Natura reserves the right to amend the GTC at any time. The version of the GTC valid at the time of the respective order, which can be viewed in the webshop, is authoritative.

B) Orders and conclusion of contract

1. The webshop is aimed at private customers.
2. The product images shown in advertising, brochures or in the web store as well as all information on the products (content information, quality standards, instructions for use, etc.) are for illustrative purposes only and are non-binding. The specific information on the product packaging is authoritative.
3. The product range presented in the webshop is a non-binding presentation. It does not constitute an offer to conclude a purchase contract with the customer.
4. Orders are placed online via the webshop. The customer's order is binding for the customer. The customer is responsible for his order and the order will be processed as it is received by Vegana Natura without further inquiry. Vegana Natura accepts no liability for transmission errors or incorrect entries made by the customer.
5. Vegana Natura is free to refuse to process an order at any time and without giving reasons. In this case, Vegana Natura will inform the customer and any payments already made will be refunded to the customer.
6. A purchase contract is only concluded when Vegana Natura sends the products ordered by the customer.
7. Vegana Natura does not guarantee the availability of the ordered products and reserves the right not to deliver ordered products, e.g. if they are not available or not available in full. Vegana Natura shall inform the customer of any unavailable and therefore undelivered products and any payments already made shall be refunded to the customer.

C) Prices, packaging and shipping costs and payment

1. Product prices in the webshop are quoted in Swiss francs (CHF) including Swiss VAT.
2. The product prices quoted do not include the costs for packaging and shipping, which are to be borne by the customer. The costs for packaging and shipping are shown in the "Delivery & Shipping" section of the webshop.
3. The prices stated in the webshop at the time of the order shall apply. The same applies to the costs for packaging and shipping.
4. For orders with a product value of more than CHF 120.00, we do not charge packaging and shipping costs.
5. The customer may use the payment options specified in the webshop. Vegana Natura reserves the right to exclude a customer from individual payment options without giving reasons. Payment details (e.g. credit card details) are transmitted in encrypted form as part of the online ordering process. Based on this, an online authorization request is automatically made to the respective payment service provider. In the absence of authorization, Vegana Natura can reject the order without further ado. The GTC of the payment service provider involved in the order processing (e.g. Paypal, Stripe) are an integral part of these GTC.

D) Retention of title

The products ordered by the customer remain the property of Vegana Natura until full payment of the price and all costs incurred, including interest on arrears. Vegana Natura is entitled to have the retention of title entered in the retention of title register at the customer's place of residence.

E) Liability and warranty

1. With the handover of the ordered products to the carrier, Vegana Natura has fulfilled all obligations arising from the customer's order and the benefits and risks of the ordered products are transferred to the customer. In particular, Vegana Natura shall not be liable in the event that the ordered products are not handed over directly to the customer by the carrier (but are deposited at the customer's doorstep, with a neighbor or similar in the absence of the customer).
2. If a product is defective, the provisions of the statutory liability for defects shall apply. The customer shall inspect the products immediately upon receipt and notify Vegana Natura in writing of any defects within three days of receipt of the products.
3. Vegana Natura shall be liable without limitation if it has assumed a guarantee in individual cases, if a breach of duty has been committed intentionally or through gross negligence and in the event of injury to life, limb or health. Vegana Natura shall only be liable for property damage and financial loss caused by simple negligence in the event of a breach of a material contractual obligation, but limited to the amount of damage foreseeable and typical for the contract at the time of conclusion of the contract. Material contractual obligations are obligations whose breach jeopardizes the achievement of the purpose of the contract or whose fulfilment is essential for the proper performance of the contract and on whose fulfilment the customer relies. Insofar as Vegana Natura's liability is excluded or limited, this shall also apply to the personal liability of employees, representatives and vicarious agents.

F) Data processing

The list available on the webshop Privacy policy in their current version form an integral part of these GTC.

G) Final provisions

1. The purchase contracts concluded between Vegana Natura and the customer are subject to Swiss substantive law, with the express exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). This choice of law applies to customers with domicile or habitual residence outside Switzerland only insofar as the customer is not thereby deprived of mandatory provisions of the law of his country of domicile or residence.
2. The place of jurisdiction is the city of Lucerne, Switzerland. This choice of jurisdiction shall only apply to customers domiciled or habitually resident outside Switzerland to the extent that the customer is not thereby deprived of mandatory jurisdiction under the law of his country of domicile or residence.

These GTC enter into force on July 1, 2022. They replace all GTC of Vegana Natura valid up to this date and apply to all orders placed after this date.
